    1. Introduction

    Welcome to 4rce.com Digital Technologies GmbH ("Company", "we", "our", "us"). These Terms of Service ("Terms", "Terms of Service") govern your use of our website located at https://aicollab.app and all related applications and services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Services.

    2. Communications

    By using our Services, you agree to subscribe to newsletters, marketing or promotional materials, and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing us at chat@aicollab.app.

    3. Services Description

    4rce.com Digital Technologies GmbH provides an AI collaboration platform that enables access to 300+ AI models through a unified interface. Our offerings include:

    • AI chat interface with access to 300+ AI models (GPT models, Claude, Gemini, Grok, AI-assisted search with e.g. Perplexity, and more)
    • Multi-model comparison and side-by-side responses
    • Knowledge Management (RAG) - Upload documents and build searchable knowledge bases
    • Secure Code Execution - Run Python code securely in your browser using Pyodide
    • AI-Powered Web Search - Integrated Google API for real-time web research
    • Image Generation - Create visuals with Gemini Image
    • Team Collaboration - Share workspaces, knowledge bases, and prompts with your team
    • GDPR-compliant hosting with zero data retention (ZDRP) enforcement

    4. Fee Changes

    4rce.com Digital Technologies GmbH, in its sole discretion and at any time, may modify the fees for the Services. Any fee change will become effective at the end of the then-current Billing Cycle.

    We will provide you with reasonable prior notice of any change in fees to give you an opportunity to terminate your subscription before such change becomes effective.

    Your continued use of the Services after the fee change comes into effect constitutes your agreement to pay the modified fee amount.

    5. Intellectual Property

    The Services and their original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of 4rce.com Digital Technologies GmbH and its licensors. The Services are protected by copyright, trademark, and other laws of both Germany and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of 4rce.com Digital Technologies GmbH.

    6. User Content

    Our Services may allow you to upload, store, send, or receive content. You retain ownership of any intellectual property rights that you hold in that content. When you upload, store, send, or receive content through our Services, you give 4rce.com Digital Technologies GmbH (and those we work with) a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such content.

    7. Payment Processing and Merchant of Record

    Payments for our Services are processed through two providers, depending on the type of purchase:

    Freemius (Merchant of Record): Individual subscriptions (PAYG, monthly, yearly), organization subscriptions, and all credit top-ups are processed by Freemius Inc. as our authorized reseller. Freemius acts as the Merchant of Record for these transactions — this means Freemius is the legal seller, appears on your invoice, and handles tax calculation and compliance. Payment data is processed securely by Freemius and never touches our servers.

    Stripe (Payment Processor): German organization customers may alternatively choose to pay via Stripe, which offers additional payment methods such as Klarna and bank transfer (Überweisung). For Stripe transactions, 4rce.com Digital Technologies GmbH is the seller and Merchant of Record. Stripe acts solely as the payment processor.

    Refund Requests: You can request a refund by either:

    • Triggering it yourself via your account dashboard under "Subscription & Billing"
    • Contacting us directly at chat@aicollab.app
    • For Freemius transactions: contacting Freemius support via the customer portal

    8. Service Level Agreement (SLA)

    We are committed to providing reliable service. If our monthly average availability falls below certain thresholds, we will provide service credits as compensation:

    Credits will be applied to your account balance and can be used for future subscriptions. Availability is calculated based on monthly uptime monitoring. Credits are issued automatically and will appear in your account within 30 days of the end of the affected month.

    9. Data Security and Backup Responsibility

    4rce.com Digital Technologies GmbH maintains no liability whatsoever for user data stored, processed, or transmitted through the Services. While we implement industry-standard security measures and perform system backups for data recovery purposes, these backups are designed solely for disaster recovery and system restoration operations. We do not provide data recovery services on a per-user or per-organization basis. Our backup systems are not intended for individual user data restoration, and we cannot guarantee the recovery of specific user or organizational data. You are solely responsible for maintaining your own backups of all data, content, and information that you upload, store, or create using the Services. This includes, but is not limited to, chat conversations, knowledge bases, uploaded files, prompts, and any other user-generated content. We strongly recommend that you regularly export and backup your data independently. 4rce.com Digital Technologies GmbH shall not be liable for any loss, corruption, deletion, or unavailability of user data, regardless of the cause, including but not limited to system failures, data breaches, accidental deletion, or any other technical issues.

    9a. Zero Data Retention Policy (ZDRP)

    We strive to enforce Zero Data Retention Policy (ZDRP) compliance through our upstream provider OpenRouter.ai. However, we cannot guarantee full ZDRP compliance, as the ultimate responsibility for data retention policies and compliance lies with OpenRouter.ai and the underlying AI model providers. While we make every effort to route requests through ZDRP-compliant endpoints and verify provider policies, the actual data handling, retention, and compliance are managed by OpenRouter.ai and the respective AI model providers. We are not responsible for any data retention practices, policy violations, or compliance issues that may occur at the provider level. Users acknowledge that the use of AI models through our Services is subject to the data retention policies of OpenRouter.ai and the underlying AI model providers, and 4rce.com Digital Technologies GmbH assumes no liability for any data retention or compliance matters related to these third-party providers.

    10. Limitation of Liability

    In no event shall 4rce.com Digital Technologies GmbH, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

    11. Disclaimer

    Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

    12. Governing Law and Jurisdiction

    These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is Straubing, Germany, provided the user is a merchant (Kaufmann), a legal entity under public law, or a special fund under public law. For consumers, the statutory provisions regarding jurisdiction apply. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

    13. Changes to Terms

    We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

    By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.
